Service.
These terms are the agreement between you and Sonn for using our website and software. We've kept them as plain as we can. By creating an account or installing Sonn, you agree to them.
Agreement & eligibility
These Terms of Service ("Terms") are a binding agreement between you and Sonn — registered company name (Serbia) ("Sonn", "we", "us"). By accessing sonn.dev, creating an account, or installing the Sonn client, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use Sonn.
You must be at least 18, or the age of majority where you live, and able to form a binding contract. If you use Sonn on behalf of an organisation, you confirm you have authority to bind it, and "you" means that organisation. Where these Terms give specific rights to "consumers", that means a natural person acting outside their trade or profession; other users are "business" users.
The service & ownership of your code
Sonn is a local-first memory-and-reasoning layer for AI coding agents. This is the part that matters most, and it's simple: your code is yours.
- Your source code and your local memory database stay on your machine. We claim no ownership and no licence over them.
- Model generation runs through your own model-provider credentials, under that provider's terms.
- We do not collect, store, or train on your code. Your source on our servers is zero bytes.
You are responsible for reviewing AI-assisted output before relying on it. How your prompts and code are handled once sent to your chosen model provider is governed by that provider's terms — see section 09.
Your account
You're responsible for activity under your account and for keeping your credentials secure. Provide accurate information and tell us promptly if you suspect unauthorised use. You may not share a single seat beyond what your plan permits, or let anyone access Sonn through your account in breach of these Terms.
Licence & intellectual property
Subject to these Terms and an active subscription or trial, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the Sonn client for your own software-development work.
Sonn — including its reasoning logic, the Angel and Whisper layers, its software, design, and trademarks — is owned by us and our licensors and is protected by intellectual-property law. Except for the licence above, we grant you no rights. You may not copy, resell, sublicense, rent, modify, or create derivative works of Sonn, nor reverse-engineer or attempt to extract its reasoning logic, except to the extent that restriction is prohibited by law. Any feedback you give us may be used without obligation to you.
Free trial
New users may start a 7-day free trial with full access to memory, the Angel reasoning layer, and Whisper steering — no feature held back. We may change or end trial offers, and limit eligibility (for example, one trial per user), at our discretion.
Your trial runs for 7 days. You can cancel any time before it ends and you won't be charged. If you don't cancel, your paid subscription begins automatically at the end of the trial at the plan price you selected, charged through Polar using the payment method you gave at checkout. We tell you this clearly at sign-up and in your confirmation email.
Subscriptions, billing & automatic renewal
Sonn subscriptions are sold and processed by Polar, acting as our merchant of record. This means Polar is the seller and merchant for your purchase: it handles checkout, payment, currency, receipts, and taxes, and its terms and privacy policy also apply to the transaction. By subscribing you authorise Polar to charge your chosen payment method on a recurring basis.
- Automatic renewal. Your subscription renews automatically at the end of each billing period (monthly or yearly) at the then-current price, until you cancel. Polar's checkout presents these renewal terms clearly and captures your separate, affirmative consent to them before you pay.
- Cancel any time, online. You can cancel any time through the Polar customer portal (linked from your account page) — no phone calls or retention hurdles. Cancellation stops future renewals; you keep access until the end of the period you've already paid for.
- Reminders & receipts. We send a confirmation when you subscribe and a receipt for each charge, each stating the amount, the renewal date, and how to cancel.
- Price changes. We may change prices for future billing periods. We'll give you clear notice in advance (at least 30 days, or as your local law requires) and the new price applies only after your current period ends. If you don't agree, you can cancel before it takes effect.
Polar collects and remits any applicable taxes (VAT/sales tax) as merchant of record. Except where the law gives you a refund right (see section 07), payments already made are non-refundable and we don't provide partial-period refunds; where a refund is due, it is processed through Polar.
Your right to cancel (consumers)
If you are a consumer in Serbia, the EU, or the UK, you normally have 14 days to withdraw from a distance contract for a digital service, without giving a reason.
Because Sonn gives you immediate access, at Polar's checkout you are asked to (a) expressly request that provision begins straight away, and (b) acknowledge that you therefore lose the 14-day right of withdrawal once provision has begun. If you give that consent and the service begins, the withdrawal right no longer applies; if you do not, you keep the full 14-day period. A withdrawal facility — including, for EU consumers, the withdrawal ("cancel contract") button — and a model withdrawal form are available, and any refund due is processed through Polar within 14 days. Nothing here affects your mandatory statutory rights as a consumer, including the legal guarantee that the service conforms to what was described.
Acceptable use
You agree not to:
- Use Sonn to build or operate anything unlawful, or to infringe others' rights.
- Resell, sublicense, or share your seat outside the terms of your plan.
- Reverse-engineer or attempt to extract Sonn's reasoning logic or other IP, except as the law permits.
- Interfere with, overload, probe, or attempt to gain unauthorised access to our systems.
- Use Sonn to develop a competing product, or remove or obscure our notices.
We may suspend or limit access if we reasonably believe you have breached this section.
Third-party services
Sonn works alongside services you bring — most importantly your model provider (used under your own credentials) and Polar, our merchant of record, which sells and bills your subscription. Your use of those services is governed by their terms and privacy policies, not ours. You are responsible for your relationship with your model provider, including any usage fees they charge and how they handle your prompts and code. We are not responsible for third-party services, but we choose reputable ones and pass them only the minimum needed.
Disclaimers
To the fullest extent permitted by law, Sonn is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that AI-assisted output will be accurate or suitable.
If you are a consumer, this section does not exclude or limit the statutory rights and guarantees you have under Serbian, EU, or UK consumer law (including that the service must conform to its description) — those rights are not affected by anything in these Terms.
Limitation of liability
To the fullest extent permitted by law, Sonn and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill. Our total aggregate liability for any claim relating to the service is limited to the greater of the amounts you paid us in the 12 months before the claim arose, or EUR 100.
Nothing in these Terms excludes or limits liability that cannot be excluded by law — including liability for death or personal injury caused by negligence, for fraud, and, for consumers, your non-excludable statutory rights. Where such rights apply, the limits above apply only to the extent the law allows.
Indemnification
If you are a business user, you agree to indemnify and hold Sonn harmless from claims, losses, and reasonable costs arising out of your misuse of the service, your violation of these Terms, or your infringement of a third party's rights. This does not apply to the extent a claim arises from our own breach, and it does not apply to consumers beyond what consumer law allows.
Term & termination
These Terms apply while you use Sonn. You may stop and delete your account at any time from your account page. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the service (with reasonable notice and, where you've prepaid, a pro-rata refund for the unused period). After termination you keep your local code and memory database — they were always on your machine. Sections that by their nature should survive — including IP, disclaimers, liability limits, and governing law — survive termination.
Governing law & disputes
These Terms are governed by the laws of the Republic of Serbia, and the competent courts in Belgrade, Serbia have jurisdiction — subject to the consumer protections below. We do not require arbitration; disputes are resolved in court.
If you are a consumer, this choice of law and court does not deprive you of the mandatory protections of the country where you live, and you may be entitled to bring proceedings in your local courts: an EU consumer keeps the protections of their Member State, a UK consumer keeps UK protections, a Serbian consumer keeps the non-waivable rights of the Serbian Law on Consumer Protection, and a California consumer keeps their CCPA/CPRA rights. EU consumers may also use the European Commission's Online Dispute Resolution platform.
Changes to these Terms
We may update these Terms as the product or the law evolves. We'll change the "last updated" date above and, for material changes, give reasonable advance notice (for example by email or an in-product notice). Continuing to use Sonn after changes take effect means you accept them; if you don't agree, stop using Sonn and cancel.
